1. Who you are contracting with
These Terms form a binding agreement between you and Luke Allnatt, trading as Ceptivo ("we", "us", "our", "Ceptivo"). By creating an account, accessing your client dashboard, or otherwise using the platform you agree to these Terms. You can contact us at hello@ceptivo.com.
2. The platform
Ceptivo is a subscription-based business website platform. The platform provides hosted website environments, a secure client dashboard, website customization and publishing tools, managed hosting, analytics and ongoing platform maintenance. Specific features available to you depend on the subscription plan you have selected.
3. Your account
To use the platform you must create an account, complete the business setup questionnaire, and keep your contact and billing information accurate and up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must have authority to bind your organisation if signing up on its behalf, or be of legal age if signing up as an individual.
4. Acceptable use
You agree not to misuse the platform, including by:
- Using them for unlawful, fraudulent, or abusive purposes.
- Sending spam, malware, or material that infringes intellectual property or privacy rights.
- Probing, scanning, scraping, or otherwise interfering with security or operation.
- Attempting to reverse engineer, resell, or circumvent technical limits of the platform.
- Hosting content that is illegal, adult, or otherwise prohibited by our Acceptable Use Policy.
5. Intellectual property
We retain all rights, title and interest in the platform, our software, designs, documentation and branding. While your subscription is active, you receive a limited, non-exclusive, non-transferable right to access and use the platform within the plan you have subscribed to. You retain ownership of content you upload, and grant us a limited licence to host, process and display it solely to provide the platform to you.
6. Payments, billing and refunds
Subscriptions and one-off platform fees are sold through our online reseller Paddle.com Market Ltd. Paddle.com is the Merchant of Record for all orders. Paddle provides all customer service inquiries and handles returns. Payment terms, taxes, subscription renewals, cancellations and refunds are governed by Paddle's Buyer Terms together with our Refund Policy. Subscriptions renew automatically each billing period until you cancel from your dashboard or the Paddle billing portal.
7. Platform availability
We work hard to keep the platform reliable but do not guarantee that it will be uninterrupted or error-free. We may carry out planned maintenance or change platform functionality from time to time. If your subscription lapses, your hosted website and dashboard access will be suspended until the subscription is reactivated.
8. Suspension and termination
We may suspend or terminate access to the platform where there is material breach of these Terms, non-payment, a credible security or fraud risk, or repeated or serious policy violations. You may cancel your subscription at any time from your dashboard; the current paid period remains active until its end date.
9. Warranties and liability
To the fullest extent permitted by law, the platform is provided "as is" and we disclaim all implied warranties of merchantability, fitness for a particular purpose and non-infringement. Our aggregate liability arising out of or relating to the platform is capped at the fees you paid us in the twelve months preceding the claim. We are not liable for indirect, consequential or special damages, including loss of profits, data or goodwill. Nothing in these Terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.
10. Indemnity
You agree to indemnify us against claims arising from your content, your unlawful use of the platform, or your breach of these Terms.
11. Governing law
These Terms are governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise required by mandatory local law.
12. Changes
We may update these Terms from time to time. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.
